Feyereisen, and Troy Development Corporation, (collectively referred to herein as "Grantors") for themselves and to bind their heirs, successors and assigns, hereby convey to the Town of Troy, St. Croix County, Wisconsin, and its assigns, ("Grantee") for conservation purposes, a perpetual restriction on the uses that can henceforth be made of property described as follows: LOT 43, EAGLE BLUFF SUBDIVISION, TOWN OF TROY, ST. CROIX COUNTY, WISCONSIN, containing 19.383 acres, more or less. The use restrictions created herein shall be known henceforth as a conservation easement, the terms of which are and shall be appurtenant to and running with the land described herein. Grantors intend that the agricultural and other conservation values of the property shall be preserved and maintained, and Grantors intend herein to convey to Grantee the right to preserve and protect the agricultural and open space values of the subject property, in perpetuity. NOW, THEREFORE, in consideration of the foregoing and of the mutual covenants, terms, conditions and restrictions contained herein, the parties agree as follows: 1. Grant of Conservation Easement. Grantors hereby grant and convey to Grantee a perpetual conservation easement encumbering and affecting the property described herein, a vested and enforceable interest in real property as authorized by 26 USC 170(h) and by Wis. Stats. § 700.40. So long as they hold any interest in the subject property, Grantors shall neither perform nor allow others to perform any act on or affecting the subject property that is inconsistent with the covenants and restrictions set forth in this conservation easement. Grantors authorize Grantee to enforce these covenants in the manner described herein and as otherwise permitted by law. 2. Statement of Purpose. The primary purpose of this easement is to permanently protect the subject property for agricultural, open space and conservation uses and to permanently preserve its availability as open space, including farmland, by preserving and protecting its soils, agricultural viability and productivity. No activity which could significantly impair the actual or potential use of the subject property for agricultural, open space or conservation purposes shall be permitted. To the extent that preservation and protection of natural, historic, recreational, habitat or scenic values of the subject property is consistent with the primary purpose as stated above, it is also the purpose of the easement to protect those values. 3. Rights and Responsibilities Retained by Grantors. In all respects not limited herein, Grantors shall retain the customary rights of ownership, including the right to sell, lease, encumber and devise the subject property. Nothing in this easement relieves Grantors of their obligations with respect to the subject property or to comply with any restrictions on the use of the subject property otherwise imposed by 1 ' C Yoi.1589pv;; 50 7 law. Grantors retain the right to use the subject property for agricultural, open space and conservation purposes. Grantors retain their right to privacy and their right to exclude unauthorized members of the public from trespassing on the subject property. Upon full transfer of any Grantor's interest in the subject property, the rights and obligations of ownership of any such interest that are established herein shall inure to and become binding upon that Grantor's successor in interest, so that the former owner of an interest in the subject property is relieved of those Grantor obligations hereunder arising after the effective date of the transfer of said obligations to a successor Grantor. 4. Permitted Acts. During the term of the easement, the subject land shall be used exclusively for open space or for agricultural uses, defined as general farming, including beekeeping, egg production, floriculture, fish orfurfarms, dairy, licensed game management farms, forest management, livestock, poultry raising, sod farming, roadside stand selling only produce from the farm operation on the premises by members of the farm family, nurseries, greenhouses, vegetable raising, raising of grain, grass, mint, seed and ginseng crops, raising of fruit, nut and berries, and other similar uses, including placing the land in federal programs for payment in kind or enrolling land in the conservation reserve program under 16 U.S.C. 3831 to 3836 but excluding farms operated for the disposal or reduction of garbage, sewage, rubbish or offal. The subject area may also be preserved in an undeveloped state for conservation purposes and used to provide and protect relatively natural habitat for wildlife, fish, plants or similar ecosystem, forests, prairies and other similar undeveloped uses. 5. Construction of Buildings and Other Structures. The construction or use of any building or other structure on the subject land is prohibited, except that: (a) The erection of fences for agricultural purposes and for the protection of watercourses, such as lakes, streams, springs and reservoirs is permitted. (b) The construction of one, single-family residential structure is permitted. (c) The construction of accessory buildings or other structures for agricultural uses is permitted, so long as the entire perimeter of such accessory buildings or structures is located within 500 feet of the primary residence. New buildings, structures or improvements shall be located elsewhere on the property only with Grantee's permission. (d) The single family dwelling and accessory buildings referred to herein may be ultimately located on one additional lot created within the subject property, to be no smaller than six acres nor larger than ten acres (exclusive of newly created roads), which may be created at a later date. Any lot so created shall never be further subdivided, shall be subject to all of the requirements of this conservation easement. No other subdivision shall occur on the subject property. 2 Y.}i.1589PAGE 508 6. Ongoing Responsibilities of Grantors. This easement is not intended to in any way affect any obligations of Grantors as owners or mortgagors, including (but not limited to) the following: (a) Liens. Grantors shall be solely responsible for payment of all taxes and other assessments of any kind that may be levied against the property, including judgments. (b) Upkeep and Maintenance. Grantors shall be solely responsible for the upkeep and maintenance of the property. (c) Liability and Indemnification. Grantors shall indemnify Grantee against and hold Grantee harmless from any and all loss, claim, liability or expense arising from or with respect to the property, unless due solely to the gross negligence or willful misconduct of Grantee. 7. Procedure to Construct Buildings and Other Improvements. Grantors may undertake construction, reconstruction or improvement of the subject property only as set forth herein. Grantors shall advise Grantee prior to undertaking any construction, reconstruction or other improvement of the single family dwellings or accessory buildings or structures on the property as permitted herein, so as to enable Grantee to keeps its records current. 8. Permission of Grantee. When Grantors are required to obtain Grantee's consent or permission for a proposed action as set forth in this easement, that permission or consent (a) shall be sought and given or denied in writing, (b) shall not be unreasonably delayed by Grantee, and (c) shall in all cases be obtained by Grantors prior to taking the proposed action for which consent or permission is being sought. Grantee shall grant permission or approval to Grantors where Grantee, in its sole discretion and in good faith, determines that the uses or action being proposed for the subject property will not substantially diminish or impair its agricultural, open space or conservation values. Grantee shall not be liable for any reasonable failure, nor for any reasonable refusal to grant permission or consent to Grantors for the uses being sought. 9. Extinguishment of Development Rights. Except as otherwise specially reserved to the Grantors in the text of this easement, all development rights of any kind concerning, connected to or associated with the subject property are hereby released, terminated and extinguished. (a) Without limitation because of enumeration, this specifically includes the extinguishment of rights of exploration for, or development and extraction of, minerals and hydrocarbons from the property by any method, except that subsurface mineral and hydrocarbon exploration, development and extraction activities may be allowed where: 3 VQt 1589Pk 51;9 (i) fully disclosed to and approved in advance by Grantee; (ii) Not inconsistent with the conservation, open space and agricultural purposes of this easement; (iii) the impact on the subject property will be limited and localized in nature; and (iv) any impact or effect on the conservation and agricultural values of the propertywill be mitigated, remedied, restored and repaired in a swift manner, satisfactory in all respects to the Grantee. 10. Transfer of Easement. Grantee shall have the right to transfer this easement to any public agency or private nonprofit corporation that, at the time of the transfer, is a "qualified organization" under § 170(h) of the Internal Revenue Code, provided that the transferee shall expressly agree to assume all responsibilities imposed upon Grantee by this easement, and that Grantors shall receive notice of any such transfer. 11. Transfer of Property. Grantors shall incorporate by reference the terms of this easement into any deed or other legal instrument by which Grantors transfer or divest themselves of any legal interest whatsoever in all or a portion of the property affected by this easement. Failure of Grantors to do so shall not impair the validity of this easement nor limit or affect its enforceability in any way. 12. When Recorded. This easement shall be executed by all Grantors on or before August 15, 2000, the date on which the St. Croix County Board shall meet to consider zoning another parcel of property that will also be contained in the Eagle Bluff subdivision from an exclusive ag designation to the ag-residential designation, which will allow the overall Eagle Bluff subdivision process to move forward. The original conservation easement, signed by all Grantors, shall be delivered to the Town Clerk on or before that day. The Town Clerk shall hold the said easement pursuant to the terms of a separate written agreement between the parties. Grantors herein certify that this deadline was met. This easement was re- executed after August 15, 2000, in order to encumber all of Outlot 1 and bind all land therein to the requirements of this easement. This easement shall be delivered to the St. Croix County Register of Deeds for recording no later than a time immediately before the recording of the final plat of Eagle Bluff subdivision by Troy Development Corporation and/or Charles S. Cook. In the event the said plat is not presented to be recorded on or before December 31, 2001, this easement shall be void and of no effect. 13. Duration of Easement. This is a perpetual easement. The conservation easement rights acquired herein shall not be alienated and shall be held by the Grantee and/or by the public agency or private nonprofit corporation to whom the said easement may be transferred, in perpetuity and in 4 1589PAGE 510 trust for the benefit of Town residents, and subject to alienation only after the conclusion of judicial action, as authorized by Wis. Slats. § 700.40(3)(b). In that event, this conservation easement may be ordered by the court to be reconveyed to the underlying landowner only after the court's conclusion, based on clear and convincing evidence, that the use of the property protected by this easement for agricultural, open space or conservation purposes has since become permanently impossible or impractical. Adjoining landowners shall be considered to be real parties in interest for the purposes of such a suit, and shall be joined in any such suit, due to their interest in and economic and lifestyle reliance on the subject property being protected by this conservation easement. Upon court order, the conservation easement rights shall be conveyed back to the landowner of the property affected by the easement rights in accordance with a court approved price, established as the actual fees, costs and expenses incurred by the Town in litigating issues related to impossibility or impracticality, the standard upon which any court order that the easement rights should be reconveyed to the underlying landowner shall be based. 14. Interpretation. This easement shall be interpreted under the laws of the State of Wisconsin, and federal laws and regulations affecting conservation easements, resolving any ambiguity or question of validity of a specific provision so as to give maximum effect to the conservation purposes of this easement. 15. Successors. Every portion of this easement, as it applies to the Grantors or Grantee, also applies to their respective agents, heirs, assigns and other successors in interest. 16. Severability. The invalidity of any the covenants, terms or conditions of this easement, or any part thereof, by any court order or judgment shall in no way affect the validity of any other provision hereof, which shall remain in full force and effect. 17. Grantors' Title Warranty. Grantors warrant that they have good and sufficient title to the property, free from all encumbrances and hereby promise to defend the same against all claims that may be made against it. Grantors warrant that all holders of any beneficial or ownership interest in the subject property have signed this easement. Grantors warrant that they shall cause any entity or person hereafter acquiring an ownership or beneficial interest in the subject property, prior to the time this easement is recorded, to execute this easement, indicating their agreement to be bound by the contents herein. Any subsequent holder of liens or other encumbrances arising from borrowing shall agree to subordinate their interest in the property to this easement, until such time as this easement is recorded. No provision of this easement shall be construed as impairing the ability of a Grantor to use the property as collateral for any subsequent borrowing. 5 VOL 1589Pi<<511 18. Grantors' Environmental Warranty. Grantors warrant that they have no actual knowledge of release or threatened release of hazardous substances or wastes on the property, as such substances and wastes are defined by applicable law, and hereby promise to indemnify Grantee against and hold Grantee harmless from, any and all lawsuit, cost, claim, liability or expense (including Grantee's reasonable attorneys fees) arising from or with respect to any release of hazardous waste or violation of environmental laws. 19. Enforcement. Grantee shall have the right to enter upon the subject property, given forty-eight (48) hours advance notice to Grantors, for the purpose of inspecting for compliance with the terms of this easement. The right to inspect applies to all buildings and accessory structures, except that any residence shall be inspected only after first receiving the occupant's permission. If Grantee determines that a violation of the easement has occurred, Grantee shall so notify Grantors, giving Grantors thirty (30) days to cure the violation. Notwithstanding the procedure set forth above, where Grantee in Grantee's sole discretion determines that an ongoing or threatened violation could irreversibly diminish or impair the conservation values of the subject property, Grantee may bring an action to enjoin the violation, ex Parte if necessary, through a temporary or permanent injunction. In addition to injunctive relief, Grantee shall be entitled to seek the following remedies in the event of a violation: (a) money damages, including damages for the loss of the conservation values protected by this easement; and (b) restoration of the property to its condition existing prior to such violation. Such remedies are cumulative, and shall be in addition to all remedies now or hereafter existing at law or in equity. In any case where a court finds that a violation has occurred, Grantors shall reimburse Grantee for all of its expenses incurred in stopping and correcting the violation, including, but not limited to, reasonable attorney's fees. The failure of Grantee to discover a violation or to take immediate legal action shall not bar Grantee from doing so at a later time. 20. Tax Impact. Although this easement is a conservation easement, and although beneficial tax treatment can be available for certain types of conservation easements as set forth in 26 USC 170(h), Grantors and Grantee acknowledge and agree that no representations have been made concerning whether any federal tax benefits are available to Grantors as a result of conveying this easement to the Grantee. That is a separate issue, and no conclusions or implications concerning beneficial tax treatment of any type shall be drawn from the text of this agreement. Grantors are not relying on the expectation of certain tax treatment in granting this easement, and no representations have been made by Grantee in this regard. 6 I - VOL 15$9PAcf512 21. Acceotance.
