CROIX COUNTY BOARD OF SUPERVISORS Special Session March 26, 1997 MINUTES ARE UNOFFICIAL UNTIL APPROVED. Meeting called to order by Chair Boche at 9:00 a.m. Invocation was given by Supr. Chuck Mehls. Pledge of Allegiance was recited. Roll call: 27 present, 4 absent - John Bradley, Thomas O'Connell, Tom Irwin and Linda Luckey (all excused). Motion by Supr. Mortensen, 2nd by Supr. Giese to adopt the agenda. Carried. Announcements: Chair Boche thanked everyone for their cards, letters and get well wishes during his recent illness. He gave special thanks to Vice Chair Dorsey for conducting meetings in his absence and to County Clerk Sue Nelson for keeping staff and Supervisors updated. Boche welcomed the press, and guests including former Supervisors George Hop and Wayne Willink and former County Board Chair Rich Peterson. Finance Committee Recommendation Regarding Ag Services Building• Finance Chair Don Brown reported that Supr. Bradley has been hospitalized in the River Falls Hospital with lung problems. Brown noted working with the developer, Wayne Peters, has been a pleasure. Supr. Standafer, Vice Chair Dorsey, John Krizek, Rich Loney and Brown met with Peters on March 22 at which time Peters agreed to sign his rights over to the county with an offer to assign. Brown stated if the county builds the facility, the new air quality codes that change April 1 would be incorporated as a protection for the employees. Brown asked Administrative Coordinator Krizek for comments. Krizek said he is pleased to present this package to provide quality space for all agencies. County buildings have an expected life of 40 to 50 years while the present proposed structure with a wood frame and vinyl siding would not have that longevity. The county would provide a masonry structure. There is no cost estimate at this time but the county should not have to borrow or bond to build. The county pays no sales tax on building materials nor property tax which is usually calculated as 1/3 of a developer's cost. There is the possibility for multiple uses such as (example only) moving Economic Development to allow more space in the Zoning Dept. or using the Community Room in the Center as an emergency shelter. The cost of county maintenance is $3.50 per square foot. Brown said all parties agreed the county can own the building at a less expensive cost. Supr. Daryl Standafer reported there are several givens on this issue - the co -location of the agencies, the new location at the south Baldwin site and it is not viable to renovate the old building. Other factors to consider are a private investor must borrow at a higher interest rate and property taxes need to be included in the rental charges. Standafer believes this package to be a benefit to the County, Ag. Agencies, Mr. Peters and the taxpayers. 1 Wayne Peters, developer and builder, said it is important to him that the Center be located in Baldwin and co -location of the agencies be retained. While the Village of Baldwin will not gain property tax dollars, other advantages remain. Peters said it has been a pleasure working with the Ag and Land Conservation Committees, FSA Director Dick Gade and the County Board Supervisors. Supr. Horne asked the cost estimate of his building to which Peters replied land and building would be approximately $850,000. Supr. Krueger asked about the contract with the Federal agencies regarding any loopholes and the future of the Federal Ag. agencies. Timmerman replied the project is assignable; the document has provisions for this and it will be a five year lease with the option to renew. The future of the Federal agencies cannot be predicted at this time. Supr. Sinclear supports this project and was told the building would be on the exact same spot as purchased by Mr. Peters. Brown said building plans won't change for the Federal agencies and should be ready for occupancy by September 2, 1997. Supr. Raymond noted the county has a commitment to the development of Perch lake and asked if there will be money left for Perch Lake after the Ag. Center is built. Supr. Brown assured the Board that the General Fund has substantial reserve funds and the county is in a strong financial situation. Funds will be available for Perch Lake development. Supr. Giese is 1000-. behind this project and recommended passage today. He suggested the building have competitive bids for building, and oversight committee and money spent for this project should be approved by the County Board. Supr. Brown said bids will be let, and the Finance Committee duties outlined in the Board's Rules and By -Laws state this committee has control over construction. Supr. King asked what fee will be paid to relinquish Mr. Peter's involvement in the project. Brown replied Peters will receive $51,000 plus $5,000 earnest money paid on the lot. Krizek stated all pubic works must have a bid process and Finance will bring the cost for building to the County Board for approval. Supr. Horne said he had concerns about other departments moving into this building. The County Board has no long range planning and Horne cited the example of selling the former Public Health building in Hammond $167,000 and possibly could have been used for an Ag. building. Supr. Sinclear said this building was offered to the Ag. agencies but the offer was turned down. Supr. Brown replied we can't get this building back, can't resurrect the past but we can learn from it. He agreed the county should have a long range plan. Supr. Jacobson asked which architects would be used. Krizek suggests using Ayres and Associates because they planned the 0 Government Center and understand what type of building the county desires. Jacobson questioned if the Federal agencies would still provide the installation for telecommunications and moving the satellite. Brown said there are no changes in this plan. Jacobson wanted to know if the Village of Baldwin would be affected adversely by receiving no property tax. Brown stated there are other benefits to the Village, such as many farmers driving to the Center and making other purchases. Supr. Peterson asked if Finance considered labor rates in cost of construction. Timmerman said the county will pay prevailing wage rates to which Supr. Brown added we would like to pay prevailing wage rates. Motion by Supr. Bieraugel, 2nd by Supr. Giese to postpone the previous resolution on lease agreement for Land Conservation and UW-Extension. This was postponed at the meeting on March 18. Carried. Resolution #6 (97): Approving Lease Agreement for Land Conservation Department and University Extension Office, and Approving Assignment of Project to St. Croix County. Motion to adopt by Supr. Standafer, 2nd by Supr. Sinclear. Roll call vote: 27 yes, 0 no. Carried. RESOLUTION APPROVING LEASE AGREEMENT FOR LAND CONSERVATION DEPARTMENT AND UNIVERSITY OF WISCONSIN-EXTENSION OFFICE, AND APPROVING ASSIGNMENT OF PROJECT TO ST. CROIX COUNTY Resolution No.6 (97) St. Croix County, Wisconsin WHEREAS, the County Land Conservation Department, County University of Wisconsin -Extension Office, USDA Farm Service Agency, USDA Natural Resources Conservation Service, and USDA Rural Development Office have historically been co -located in the Agricultural Center Building in Baldwin near the center of the population serviced by these offices; and WHEREAS, the Agricultural Center Building does not contain sufficient space or parking for continued effective co -location of the agencies and is not handicap accessible as required by the Americans with Disabilities Act; and WHEREAS, co -location of the agencies generates cost savings derived from shared resources such as convenient accessibility of technical expertise among employees, equipment, operating expenses, and data files; and WHEREAS, co -location of the agencies enhances interagency cooperation and unity of work leading to efficiencies that benefit the citizens of St. Croix County who are served by these agencies; and WHEREAS, the USDA Agencies have awarded a bid to Wayne R. Peters, Eau Claire, Wisconsin to construct a new building that will provide adequate office space and parking for USDA and St. Croix County Offices, adequate rooms for public meetings and education, and meets the Americans with Disabilities Act specifications for accessibility, and will keep the offices in the Village of Baldwin; and WHEREAS, the bid award is a document entitled Solicitation, Offer and Award for Collocated County Offices, awarded January 8, 1997 and signed by John Schottler, COC Chairperson, on behalf of the United States Department of Agriculture; and 3 WHEREAS, this bid award is contingent on St. Croix County agreeing to the terms and conditions of the bid award and co - locating the Land Conservation Department and University of Wisconsin -Extension Office with the Federal Agencies; and WHEREAS, Mr. Peters has offered to assign all of his rights, title, and interest in the bid award and in a contract with the Village of Baldwin to acquire Lot 7 in the Baldwin Industrial Park, on terms and conditions contained in an Offer to Assign, dated March 25, 1997, a copy of which is attached hereto; and WHEREAS, it is in the best interests of St. Croix County to co -locate its offices with the Federal agencies, approve the bid award with Mr. Peters, and accept the assignment of the bid award and the contract to purchase Lot 7 from Mr. Peters. THEREFORE, be it resolved by the St. Croix County Board of Supervisors that the following be and is hereby done in the order listed: Approves and accepts the terms and conditions of bid award with Mr. Peters for the provision of office space for the County Land Conservation Department and the University of Wisconsin -Extension Office; and Approves and accepts an assignment of the bid award from Mr. Peters and approves and accepts an assignment of the contract between the Village of Baldwin and Mr. Peters for the purchase of Lot 7, Baldwin Industrial Park, from Mr. Peters, pursuant to the terms and conditions of the Offer to Assign. Peters, 1812 Bracket Avenue, Eau Claire, Wisconsin 54701, hereafter referred to as Offeror, offers to assign, transfer, and grant all rights, title, and interest in that certain Solicitation, Offer and Award for Collocated County Offices, entered into by Offeror and the United States Department of Agriculture, to St. Croix County, hereafter referred to as County, and Offeror offers to assign, transfer, and grant all rights, title and interest in the contract to purchase from the Village of Baldwin Lot 7, Baldwin Industrial Park, a 4.35 acre parcel, to the County, more particularly described as follows: Lot 7 of Certified Survey Map No. 2988, recorded in the St. croix County Register of Deeds Office on September 12, 1995, in Volume 11, Page 2988 located in Part of the North 1.2 of the Fractional Northwest 1.4, Section 6, Township 28 North, Range 16 West, Village of Baldwin, St. Croix County, Wisconsin. This parcel does not include Outlot 1. The following are the terms and conditions of this offer: 1. Offeror warrants that he is the sole owner of the Contracts identified herein with full right and authority to convey the same. 2. Offeror warrants that the Contracts are in full force and effect in accordance with their terms, and Offeror is not in 4 default of any of their terms, conditions, and covenants. 3. Offeror warrants that he will not execute any other assignment of the Contracts. 4. Offeror warrants that he will not alter, extend or modify the terms of the Contracts before assignment to the County. 5. Upon receipt of clear title to Lot 7, the County will pay to Offeror $51,000.00 for the Solicitation, Offer and Award contract, and $95,000.00 to the Village of Baldwin and $5,000.00 to Offeror (as reimbursement for the earnest money payment made to the Village) for Lot 7. 6. Upon receipt of clear title to Lot 7, the County will construct and operate a building for use by the Federal agencies identified in the Solicitation, Offer and Award pursuant to the terms of that contract and will co -locate the County Land Conservation Department and UW-Extension Department in the building. 7. This offer shall remain open until 5:00 P.M. Central Time, Wednesday, March 26, 1997 Legal consideration in the amount of $1,000.00 due and payable by the County at time of acceptance, which will be deducted from balance due. Mehls suggested for long range planning consideration of an alternate EOC site (emergency operations center) is needed into which a center could be set up to operate within two hours. Mehls also shared an Easter greeting story. Oral Report: Register of Deeds Kay Walsh presented her departmental report. Correspondence: Clerk Nelson read a card from Supr.
