RULES AND BYLAWS SUBCOMMITTEE
December 10, 2014 3:00 PM

CALL TO ORDER
The meeting was called to order at 3:08 p.m. by Corporation Counsel Cox.

APPROVAL OF MINUTES
There were no minutes to be approved.
BUSINESS ITEMS
1. Election of Officers
Supervisor Kiesler nominated Supervisor Sjoberg as Chair. Carried unanimously.
Supervisor Sjoberg nominated Supervisor Berke as Vice Chair. Carried unanimously.
2. Establish Subcommittee Review Process
Chair Sjoberg suggested that the committee start the review process at Article I and work
through the document. If it should turn out to be to cumbersome, the Committee can
revisit the review process. Committee will address later in the meeting.
3. Discuss completion/adoption time line
The target dates for review and adoption of the Rules and Bylaws are the second week in
February by the Committee of the Whole and April 6, 2015 for consideration and
adoption by the County Board.
4. Schedule future meetings
Chair Sjoberg suggested the Committee sees how this meeting goes before setting dates.
The Committee will address later in the meeting.
Three meetings were scheduled: Tuesday, December 30th - 4:30-6:00 p.m., Wednesday,
January 21st - 3:00-5:00 p.m., and Monday, February 2nd - 3:00-5:00 p.m. These
meetings will be held in the County Board Room at the Government Center in Hudson.
5. Review Submitted Standing Committee Duties and Other Additional
Amendments/Comments
The Committee will review submitted duties as it goes through the document.
6. Review Administration Committee Duties
The Committee will review Administration Committee duties as it goes through the
document.
7. Review Rules and Bylaws of Wisconsin Counties with Administrator Form of
Governance
Chair Sjoberg summarized his view of rules and bylaws. Bylaws are generally the
structure of an organization. It contains how members are populated within the
organization's committees. Rules are beyond the structure and more of the how to and
order of business. Within the current Rules and Bylaws there may be some items that
many not need to be included and can be removed. Corporation Counsel Cox and Chair
Sjoberg added that the description of committee duties needs to clarify three things: 1)
when it merely receives something; 2) when it needs to recommend action to the Board;
and 3) when it has the authority to act directly.
Corporation Counsel Cox explained why he chose the four counties he did out of the 20+
County Clerk Campbell collected. Cox said all the examples have something he likes
and will be useful. It was also discussed that the word "review" is ambiguous and needs
to be clarified.
The Committee went on with the review starting at the Introduction and ending the
meeting having gone through Article I. Chair Sjoberg assigned Supervisors Berke and
Ostness to work with staff (Scott and Cindy) to address vacancies and extended absences
language. Staff is to work on compensation and per diems language using Chippewa
County as an example. Work product will be emailed to Committee members prior to the
meetings.
