RESOLUTION APPROVING LEASE AGREEMENT FOR LAND CONSERVATION
DEPARTMENT AND UNIVERSITY OF WISCONSIN- EXTENSION OFFICE, AND
APPROVING ASSIGNMENT OF PROJECT TO ST. CROIX COUNTY

St. Croix County, Wisconsin
WHEREAS, the County Land Conservation Department, County University of Wisconsin -
Extension Office, USDA Farm Service Agency, USDA Natural Resources Conservation Service, and
USDA Rural Development Office have historically been co- located in the Agricultural Center
Building in Baldwin near the center of the population serviced by these offices; and
WHEREAS, the Agricultural Center Building does not contain sufficient space or parking for
continued effective co- location of the agencies and is not handicap accessible as required by the
Americans with Disabilities Act; and
WHEREAS, co- location of the agencies generates cost savings derived from shared resources
such as convenient accessibility of technical expertise among employees, equipment, operating
expenses, and data files; and
WHEREAS, co- location of the agencies enhances interagency cooperation and unity of work
leading to efficiencies that benefit the citizens of St. Croix County who are served by these agencies;
and
WHEREAS, the USDA Agencies have awarded a bid to Wayne R. Peters, Eau Claire,
Wisconsin to construct a new building that will provide adequate office space and parking for USDA
and St. Croix County Offices, adequate rooms for public meetings and education, and meets the
Americans with Disabilities Act specifications for accessibility, and will keep the offices in the Village
of Baldwin; and
WHEREAS, the bid award is a document entitled Solicitation, Offer and Award for
Collocated County Offices, awarded January 8, 1997 and signed by John Schottler, COC
Chairperson, on behalf of the United States Department of Agriculture; and
WHEREAS, this bid award is contingent on St. Croix County agreeing to the terms and
conditions of the bid award and co- locating the Land Conservation Department and University of
Wisconsin - Extension Office with the Federal Agencies; and
WHEREAS, Mr. Peters has offered to assign all of his rights, title, and interest in the bid
award and in a contract with the Village of Baldwin to acquire Lot 7 in the Baldwin Industrial Park,
on terms and conditions contained in an Offer to Assign, dated March 25, 1997, a copy of which is
attached hereto; and
WHEREAS, it is in the best interests of St. Croix County to co- locate its offices with the
Federal agencies, approve the bid award with Mr. Peters, and accept the assignment of the bid award
and the contract to purchase Lot 7 from Mr. Peters.
THEREFORE, be it resolved by the St. Croix County Board of Supervisors that the following
be and is hereby done in the order listed:
1. Approves and accepts the terms and conditions of bid award with Mr. Peters for the
provision of office space for the County Land Conservation Department and the
University of Wisconsin- Extension Office; and
2. Approves and accepts an assignment of the bid award from Mr. Peters and approves
and accepts an assignment of the contract between the Village of Baldwin and Mr.
Peters for the purchase of Lot 7, Baldwin Industrial Park, from Mr. Peters, pursuant
to the terms and conditions of the Offer to Assign.

OFFER to ASSIGN
Wayne R. Peters, 1812 Bracket Avenue, Eau Claire, Wisconsin
54701, hereafter referred to as Offeror, offers to assign, trans-
fer, and grant all rights, title, and interest in that certain
Solicitation, Offer and Award for Collocated County Offices,
entered into by Offeror and the United States Department of
Agriculture, to St. Croix County, hereafter referred to as Coun-
ty,
and
Offeror offers to assign, transfer, and grant all rights, title
and interest in the contract to purchase from the Village of
Baldwin Lot 7, Baldwin Industrial Park, a 4.35 acre parcel, to
the County, more particularly described as follows:
Lot 7 of Certified Survey Map No. 2988, recorded in the St. Croix
County Register of Deeds Office on September 12, 1995, in Volume
11, Page 2988 located in Part of the North 1.2 of the Fractional
Northwest 1.4, Section 6, Township 28 North, Range 16 West,
Village of Baldwin, St. Croix County, Wisconsin. This parcel
does not include Outlot 1.
The following are the terms and conditions of this offer:
1. Offeror warrants that he is the sole owner of the Contracts
identified herein, with full right and authority to convey
the same.
2. Offeror warrants that the Contracts are in full force and
effect in accordance with their terms, and Offeror is not in
default of any of their terms, conditions, and covenants.
3. Offeror warrants that he will not execute any other
assignment of the Contracts.
4. Offeror warrants that he will not alter, extend or modify the
terms of the Contracts before assignment to the County.
5. Upon receipt of clear title to Lot 7, the County will pay to
Offeror $51,000.00 for the Solicitation, Offer and Award
contract, and $95,000.00 to the Village of Baldwin and
$5,000.00 to Offeror (as reimbursement for the earnest money
payment made to the Village) for Lot 7.
6. Upon receipt of clear title to Lot 7, the County will
construct and operate a building for use by the Federal
agencies identified in the Solicitation, Offer and Award
pursuant to the terms of that contract and will co- locate the
County Land Conservation Department and UW- Extension Depart-
ment in the building.
7. This Offer shall remain open until 5:00 P.M. Central Time,
Wednesday, March 26, 1997.
Legal consideration in the amount of $1,000.00 due and payable by
the County at time of acceptance, which will be deducted from
balance due.
