RESOLUTION AUTHORIZING EXCHANGE OF PARCELS BETWEEN
ST. CROIX COUNTY AND THE CITY OF GLENWOOD CITY

St. Croix County, Wisconsin
WHEREAS, St. Croix County owns a parcel of land 120 feet by 430 feet located at
the North end of the "St. Croix County Fairgrounds" fronting Oak Street in the City of
Glenwood City (approximately 1.2 acres); and
WHEREAS, the City owns a parcel of land adjacent to the fairgrounds at the
fairground's northeast corner known as the "athletic field" (approximately 3.5 acres); and
WHEREAS, the City desires to obtain the County parcel for purposes of transferring
it to private ownership for the development of a Super Valu grocery store; and
WHEREAS, negotiations were conducted by and between the City, St. Croix County
Fair, Inc. (Fair Board), and the grocery store developers, which resulted in a proposal
consisting of the following terms:
1. The County will transfer to the City title to the 120 foot by 430 foot parcel at
the north end of the "fairgrounds."
2. The City will transfer title to the County the parcel known as the "athletic
field" less the area north of West Pine Street. The City keeps and shall
remove to a new athletic field the lights, fence, and concession stand.
3. The City will install poles and lights sufficient to illuminate the "athletic field"
parcel for County fair purposes (probably four power poles with street lights)
and will complete all electrical work to make the lights operational, all at the
city's expense.
4. The City will remove trees on the west side of the "athletic field" parcel.
5. The City will provide and place approximately 650 yards of gravel fill in areas
designated by the Fa Board to increase the number of parking spaces at the
north end of the fair grounds.
6. The City will pay to the County at closing $6,500.
7. Once the County transfers title to the City, the City will transfer the land for
the development of a new Super Valu grocery store. The County will retain
a permanent easement to be used by the Fair Board and fair visitors for
ingress and egress during the St. Croix County Fair from Oak Street to the
fairgrounds. The easement will be located where an access is presently
located, approximately 150 -200 feet east of the west line of the parcel and will
run between the store and the parking lot. Light duty vehicles, such as cars
and pickups, will be allowed to use the easement. Heavy vehicles, such as
highway trucks, tractors and trailers, heavy equipment, etc., will not use the
easement. If the grocery store building should expand in the future to the
east, the easement shall shift to the east. It is understood that this may result
in loss of parking spaces referenced in paragraph 8.
8. The County will also retain a permanent easement for County fair visitor,
including disabled person, parking and access over an easterly portion of the
120 foot by 430 foot parcel identified as follows: The Super Valu grocery
store will be located on the west side of the parcel. The grocery store will
retain exclusive use of the 20 closest parking spaces to the store. All
remaining space to the east of the 20 parking spaces shall be reserved for
County fair visitor parking.
9. The City and Super Valu will assist the Fair Board in signing to identify the
location of the fair and the parking area available for fair visitor, including
disabled person, parking and access.
10. Transferring title to the parcels and payment of the $6,500 shall be completed
in 1996. All other conditions shall be completed prior to the 1997 St. Croix
County Fair. In 1996, the County fair shall have unrestricted use of the 120
foot by 430 foot parcel.
THEREFORE, be it resolved that a deed be issued to the City of Glenwood City for
the County parcel on the above terms and conditions and the following two conditions:
a. An updated abstract of the City parcel be provided to the County and the
Corporation Counsel does a title opinion which shows that clear title can be
passed to the County;
b. A survey and legal description be completed by the County Surveyor for the
parcel the County will acquire from the City.
FURTHER, be it resolved that if all conditions are met, the County Board Chair and
County Clerk are authorized to sign the deed transferring title of the County parcel to the
City of Glenwood City.
