RULES AND BY -LAWS
of
ST. CROIX COUNTY, WISCONSIN
ARTICLE I
NAME AND ADDRESS
The name of the municipal corporation is "St. Croix County, Wisconsin ". It's principal office
is located at 911 4th Street, Hudson, Wisconsin.
ARTICLE II
BOARD OF SUPERVISORS
Section A. Designation. St. Croix County shall exercise its powers through the Board of
Supervisors.
Section B. Composition and Terms. The Board of Supervisors shall be comprised of one
supervisor from each of the 31 supervisory districts within the County. Supervisors shall be
elected every two years in the general spring election.
Section C. Powers. The Board of Supervisors may exercise any of the powers conferred
on it by the laws of the State of Wisconsin.
Section D. Compensation. Compensation for supervisors shall be set by a resolution of
the Board. The resolution must be adopted prior to the earliest date which papers may be
filed for a County Board seat and the resolution may not be amended by the Board during
the term of that Board covered by the resolution. Rates for travel reimbursement, food and
lodging are set in the County Travel Policy.
Section E. Vacancies. Vacancies on the County Board shall be filled by a person
appointed by the County Board Chair and confirmed by a majority vote of the County
Board as provided in sec. 59.03(3)(e), Wisconsin Statutes.
ARTICLE III
OFFICERS AND DUTIES
Section A. Officers. The officers of the Board of Supervisors shall be a Chair and a Vice -
Chair, who shall be elected by the Board of Supervisors at the first meeting of the Board
following the general spring election. If no nominee receives a majority on the first ballot
the second ballot will include the three nominees receiving the most votes. If no nominee

receives a majority on the second ballot, the third ballot will include the two nominees with
the most votes. Voting will be by secret ballot.
Section B. County Clerk. The County Clerk shall keep minutes of the meetings of the
Board of Supervisors.
Section C. Term. The term of office for the Chair and Vice -Chair shall be 2 years or
until a successor is elected.
Section D. Powers and Duties. The officers shall exercise the powers and perform the
duties described in these Rules and By -laws, those assigned by the Board, those prescribed
by the parliamentary authority adopted herein and those which normally pertain to the
office.
1. The Chair shall:
a. Open each meeting of the Board at the time and place publicly noticed
and call the supervisors to order;
b. Receive and submit for Board consideration, all matters properly
presented by a standing committees; er- supervised
c. Vote on the call of yes and no votes. His /her vote shall be recorded
with those of the other supervisors. On roll call votes the Chair's vote
will be recorded last.
d. Put to vote all questions properly moved and announce the results;
e. Maintain rules of order while supervisors are engaged in debate;
f. Lead the Board on all occasions in the observance of order and
decorum;
g. Rule on any point of order or practice when necessary or when asked.
h. Represent and stand for the Board over which he /she presides,
obeying its commands and declaring its will.

2. The Vice -Chair shall:
a. Act as Chair during the absence or disability of the Chair.

b. When the Chair wishes to temporarily vacate the chair during a Board
meeting, act as Chair during the absence when designated by the
Chair.
3. In the absence of the Chair and Vice - Chair, the Board shall elect a Chair -pro-
tem to conduct the Board meeting.

ARTICLE IV
COMMITTEES
Section A. Establishment. The Board shall establish the following standing committees:
1. Elected Committees. Committees whose members must be supervisors and
are elected by the Board are:
a. Finance, Committee 5 supervisors
b. Resource Management #4100#0 Committee 5 supervisors
c. Transportation Committee 5 supervisors
d. Public Protection Committee 5 supervisors
These committees are formed immediately after the election of officers.
Voting will be by secret ballot.
No supervisor shall be a member of more than one elected committee.
2. Appointed Committees. The Chair, in consultation with the Vice - Chair, shall
appoint the members, who must be supervisors except as otherwise noted, of
the following committees:
a. Planning and Development Committee 5 supervisors
b. Waste Management Committee 5 supervisors
c. Personnel Committee 5 supervisors
d. Human Services Board 9 members -
6 supervisors &
3 citizens

The experience of a supervisor shall be taken into consideration by the
County Board Chair when making appointments.
3. Executive Committee. The Executive Committee shall be composed of the
Chair of the Board of Supervisors and the chair of each of the eight standing
committees, plus the Vice -Chair of the Board of Supervisors as a non - voting
member (unless the Vice -Chair is the chair of a standing committee). If a
supervisor is the chair of more than one standing committee, that supervisor
shall declare which standing committee he /she will represent and the other
committee shall elect its representative to the Executive Committee.
Section B. Powers and Duties.
1. Each committee shall self - organize and elect its own chair. trwifit

2. No County employee may serve as a member of a County standing
Committee. A County employee may serve as a non - voting member of a sub-
committee, organization, or agency.
3. No supervisor shall represent more than one standing committee on the
Executive Committee.
4. A supervisor shall serve as a committee member until the first County Board
meeting following the general spring election.
5. Unofficial minutes of committee meetings shall be prepared and mailed
within 2 weeks of the meeting.
6. a. The date, time, place and agenda of committee meetings shall be
provided to the County Clerk's Office in sufficient time to be published
in the official newspaper, as prescribed by law, and other appropriate
newspapers.
b. Special meetings may be held by any committee:
(1) Upon written announcement by the committee chair mailed to
each member of the committee not less than 4 days prior to the
date of the meeting, or
(2) Upon written request of two or more members of the
committee mailed to each member of the committee not less
than four (4) days prior to the date of the meeting.

c. Minutes of all committee meetings shall be furnished to the County
Clerk who shall furnish copies to all supervisors.
d. A majority of committee members shall constitute a quorum for the
transaction of business.
e. Joint Committee Meetings:
(1) When two committees are to meet jointly, it is the responsibility
of both chairs to establish a joint meeting date. The two chairs
shall, whenever possible, schedule such a joint meeting to
coincide with a regularly scheduled meeting of one of the
committees involved.
(2) The chair of a joint committee meeting shall be determined by
both committee chairs. In the event agreement cannot be
reached, the members of the two committees shall elect the
chair of the joint committee.
(3) The chairs of both committees shall prepare the agenda.
(4) The chair of either committee can appoint someone to act as
secretary.
(5) Each committee member shall receive a copy of the minutes.
7. Additional powers and duties of committees are shown on an attachment to
these Rules and By -laws.
Section C. Zoning Board of Adjustment. There shall be a Zoning Board of Adjustment
established pursuant to sec. 59.99, Wisconsin Statutes. It shall be composed of 5 members
who shall be supervisors and who shall be appointed by the Chair and Vice - Chair.
For administrative and budget purposes, the Board of Adjustment shall work through the

Section D. Sub - committees, Organizations and Agencies. Representatives to the following
sub - committees, organizations or agencies shall be appointed by the County Board Chair
upon consultation with the Vice Chair. These sub - committees, organizations or agencies will
have access to the County Board through the indicated parent committee. The experience
of a supervisor shall be taken into consideration by the County Board Chair when making
appointments.

Section E. The Board may establish special or ad -hoc committees for special purposes
and limited duration.
ARTICLE V
MEETINGS OF THE BOARD
Section A. Dates, Times, and Agenda Items.
1. Regular Meeting Date and Time. The Board of Supervisors shall meet the
third Tuesday of each month, except no regular meetings are scheduled for
February or July. The meeting shall begin at nine o'clock a.m. or seven
o'clock p.m. unless otherwise designated by the Chair. Special Meetings.

Special meetings may be called in accordance with sec. 59.04(2), Wisconsin
Statutes. Annual Meeting. The annual meeting of the Board of Supervisors,
as required by sec. 59.04, Wisconsin Statutes, shall be held as part of the
regular session in October.
2. All business to come before the Board shall be submitted to =m'
the County Clerk not less than 10 days prior to each meeting of the Board.
Matters of urgency arising after the preliminary agenda has been mailed to
supervisors may be added to the agenda at the discretion of the County Board
Chair. Notice of these additional items only will be mailed to supervisors on
the Friday prior to the County Board meeting. A final agenda will be
available the day of the County Board meeting. Any item of business to come
before the Board that is not on the agenda, may be considered by the Board
after being placed on the agenda by a majority and may be acted upon if
there has been compliance with the Wisconsin open meeting requirements of
sec. 19.85, Wisconsin Statutes.
Section B. Procedures.
1. Before proceeding to business, the roll of the supervisors shall be called and
the names of those present and those absent shall be entered on the
3eurd. A majority of all the supervisors elected shall constitute a
quorum for the transaction of business.
2. No supervisors shall absent himself or herself from the meeting without first
having obtained leave of absence from the County Board Chair or the

cannot be reached.
3. The order of business shall be placed on an agenda which shall be prepared
as follows:

The Chair may modify the order of business as necessary.
4. The Chair shall preserve order and decorum and may speak to points of
order in preference to others. The Chair shall also decide questions of order
subject to an appeal to the Board. No supervisor shall speak more than once
on such appeal except by leave of the Board. A majority vote of the Board
shall overrule the Chair.
5. While the Chair is addressing the Board or submitting a question, no
supervisor shall cross the floor, leave the meeting, or walk between a
supervisor being addressed and the Chair.
6. Any person not a supervisor desiring to address the County Board on any
subject shall first be recognized by the supervisor representing the district
he /she resides in. In case of objections, such person may address the Board
if a majority of the supervisors approve. This rule shall not prevent the
Administrative Coordinator or Corporation Counsel from answering any
questions put to them by a supervisor or from presenting information to the
Board upon being recognized by the Chair.
7. Minutes of the Board shall be kept in accordance with sec. 59.17, Wisconsin
Statutes. Minutes shall be transcribed within seven (7) days of the Board
meeting and sent to each supervisor for approval. Each supervisor shall have
five (5) days after receipt thereof to request an addition or correction thereto.
Should written objection not be received by the County Clerk within ten (10)
days from the last day of the Board session, the minutes are to be released for
publication.
Proceedings of the County Board shall be recorded electronically by tape
recorder. Said tapes will be preserved by the Clerk for one year.
8. Every matter which comes before the Board from a source other than a
standing committee shall be referred to an appropriate standing committee
by the Chair without motion unless otherwise directed by a two- thirds vote of
the Board. Every committee shall report upon all items referred to it by the
second meeting following the meeting of referral unless otherwise directed by
the Board. Once the subject matter has been referred to a standing

committee, the presenter is strongly urged to appear before the committee to
discuss the subject matter.
9. All monetary claims and all petitions for highways and bridges shall be
presented to the Board at the Annual Meeting.
10. All reports of county officers, T:::r Committee, and
department heads shall be presented to the Board on an annual basis.
11. Every written resolution and ordinance shall have endorsed thereon the
names of the members of the introducing committee. The Chair of the
introducing committee is responsible for obtaining signatures on resolutions
and ordinances.
12. All questions shall be put in the order they are moved, except privileged
questions.
13. Any supervisor may request a roll call vote. All ordinances, resolutions and
motions involving general fund transfers shall require a roll call vote.
14. All formal reports of committees#WrbitAticpcol, resolutions and
ordinances shall be in writing and submitted ' nar Coun 1e .
15. A two- thirds vote shall be necessary for the adoption of any new county
positions or any transfers from the General Fund.
16. Rules of the Board may be suspended by a two- thirds vote of the Board.
Section C. Rules of Debate.
1. When any supervisor wishes to speak in debate, or deliver any matter to the
Board, he /she shall rise and address himself /herself to the Chair, confine
his /her remarks to the question under debate, and avoid making derogatory
personal comments about others. • . .: - . - ; - ,
2. In all cases, the supervisor who shall rise first and address the Chair shall
speak first; but when two supervisors rise at the same time, the Chair shall
name the supervisor who is first to speak.
3. When a question is under debate, no motion shall be received except:
a. To adjourn (Privileged)

b. To take a recess (Privileged)
c. To lay on the table (Privileged)
d. To suspend the rules
e. For the previous question
f. To postpone to a time certain
g. To refer to a standing committee
h. To refer to a special or ad hoc committee
i. To amend
j. To postpone indefinitely
These motions shall have precedence in the order in which they are listed.
4. A motion to adjourn, to take a recess, to lay on the table, and a call for the
previous question, shall be decided without debate.
5. A motion to adjourn is always in order, except when a vote is being taken, but
this rule shall not permit any supervisor to move an adjournment when
another supervisor has the floor.
6. When a motion is made, it shall be stated by the Chair prior to debate. If a
question contains several points, any supervisor may have it divided into
separate questions.
7. A supervisor called to order by the Chair shall immediately sit down unless
permitted to explain. The decision of the Chair may be overruled by a
majority vote of the Board.
S. It shall be in order for any supervisor voting on the prevailing side to move
for a reconsideration of the vote on the question on the same day of the vote,
or not later than the next Board meeting. Such motion having been put and
lost, or not receiving a second, shall not be renewed.
9. In all matters not specifically provided for in these rules, Roberts Rules of
Order, latest edition, shall govern.
Section D. Putting Questions and Voting.
1. All questions shall be put in this form:
"Those who are of the opinion that the (resolution, motion, etc.) be (adopted,
indefinitely postponed, etc.) say 'Yes'. Those of a contrary opinion, say 'No'."
In doubtful cases, any supervisor may call for a division (a counted vote).

Human Services Board
Responsible for developing policy and authorizing direction for all Human Services
controlled by Ch. 45, 46, 48, 49, 51, 55, and-141100m Wisconsin Statutes. In addition,
the Board is responsible for: policy direction for Home Care and County Nursing Home;
reviews the audit of bills and vouchers that relate to the above departments; and the
buildings and grounds of the Human Services Center in New Richmond}; t da

Transportation Committee
Responsible for- policy direction in maintenance, construction, and design of all county
roads; purchases and sells county road machinery; determines whether each piece of county
aid construction shall be let by contract or be done by day labor; provides policy direction
on the expenditure of highway maintenance funds received from the state or provided by
county tax; reviews all payroll and material bills and vouchers resulting from the
construction of highways. Responsible for all matters that relate to air, rail or mass transit.
Planning and Development Committee
Responsible for policy direction for county planning, land use regulations, real property
description, surveying, remonumentation, mapping and general land records management;
direct the preparation and recommend approval or amendment of the county development
plan and its specific elements; direct the preparation and recommend approval or
amendment of county land use regulations and make related policy decisions as assigned by
the County Board; establish and maintain policies for the county's surveying, mapping, real
property description, remonumentation and land records programs; direct the preparation
and recommend approval or amendment of the county's land information plan. Responsible
for policy direction to Planning Director, Zoning Administrator, County Surveyor, Register
of Deeds and St. Croix Parks system.
Solid - Waste Management Boardeoimilittee
Responsible for directing solid waste policy and operating a solid waste system for the

Statutes— develops and maintains a county solid waste management plan; provides policy
direction for administration of the service agreement with American Resource Recovery,
Inc. for the St. Croix waste -to- energy facility; serves as the "responsible unit" under state
recycling law to carry out an effective recycling program. Responsible for policy direction
to Planning Department for program administration.

Resource and Education Committee
Responsible for: policy development and budget management for Land Conservation
Department pursuant to Ch. 92, Wisconsin Statutes; St. Croix County Library System
pursuant to Ch. 43, Wisconsin Statutes; the development of educational programs, services
and the provision of technical assistance to St. Croix County residents through University
extension pursuant to sec. 59.87, Wisconsin Statutes; Office on Aging shall make its budget
requests through this committee.

2. Every supervisor present when a question is put, or when his name is called,
shall vote unless otherwise excused by the Board.
3. A supervisor may abstain on a vote, but upon completion of the vote, he /she
is required to explain to the Chair the reason for his /her abstention. The
Chair may approve or reject the reason. If the reason is rejected, the
supervisor must then vote yes or no. No supervisor shall be permitted to
explain his /her vote while the vote is being taken.
4. If a supervisor must leave the meeting during a debate or misses a vote,
he /she shall be required to vote upon his /her return. This rule may be
waived by the Chair. No supervisor who is not in attendance can vote (no
proxy votes).
5. Any supervisor may request a roll call vote. All votes on ordinances,
resolutions, and motions involving the expenditure of funds shall be by roll
call vote.
6. In all roll call votes the roll shall be called in numerical district rotation; the
district voting 2nd in the last roll call vote of the Board took shall begin the
next roll call vote.
ARTICLE VI
AMENDMENT OF RULES
These Rules and By -laws may be amended by a two- thirds vote of the Board upon
recommendation of the Executive Committee.

ADDENDUM
COMMFfI'EES & DESCRIPTIONS
Executive Committee
Responsible for reviewing and presenting the annual budget to the County Board. Provides
direction to the Administrative Coordinator and Corporation Counsel. Acts as the
legislative committee for all Federal, State, and regional laws that may affect county
government. Annually reviews and recommends amendments if necessary to the Rules and
By -laws of the County Board. It shall address all other matters not specifically delegated
to any other committee. No action can be taken by this committee without County Board
approval. It is recommended this committee meet at least quarterly.
Finance Committee
Responsible for initiating policy on, and review of, all fiscal matters. Approval of county
audit report; reviews county investments; reviews and audits county insurance policies and
bonding; manages the annual contingency fund; reviews on a monthly basis the report of the
Finance Director on all monthly bills from county offices except Transportation and Human
Services; approves or denies legal claims made against the county; reviews per diem and
mileage for all committees, commissions, boards or councils. Responsible for policy
direction to Finance Director, County Clerk, Clerk of Court, Treasurer, Maintenance
Director, and Data Processing.. The Finance Committee will have control over all
matters relating to construction, building improvements, repair or maintenance not
specifically delegated to other committees. Veterans Service officer shall process his /her
budget through this committee.
Personnel Committee
Complete policy jurisdiction over all county personnel as follows: union matters and
negotiations and all non -union personnel matters; recommend annual salaries for all
personnel to the County Board; review all new position requests; personnel manual,
employee incentive programs, and employee training. Policy jurisdiction over county

RESOLUTION TO AMEND COUNTY BOARD RULES & BY -LAWS

WHEREAS, the County Board adopted new rules and by -laws on March 10, 1992;
and
WHEREAS, the General Services committee has reviewed the rules and by -laws
since they were adopted and recommends the following amendments:
1. Article III, Section D. 1. c. - delete last sentence.
2. Article IV, Section A. 1. b. - after "5 supervisors" add "; when dealing with
land conservation matters under Ch. 92, 1 citizen member also participates."
3. Article IV, Section B. 1. - should read: Each committee shall self - organize
and elect its own chair. The initial committee meeting shall be arranged and
conduced by a member appointed by the Chair until its chair is elected.
4. Article IV, Section B. 3. - delete.
5. Article V, Section B. 7. - third sentence should read: "Each supervisor may
request an addition or correction thereto." Last sentence change: "ten (10)"
to "fifteen (15) ".
6. Article V, Section B. 13. - delete.
7. Article VI - change "Executive" to "Administration ".
8. Addendum, Administration Committee - Add a last sentence: "Veterans
Service Officer shall report to this committee for budget and other purposes."
9. Addendum, Finance Committee - Delete last sentence.
THEREFORE, BE IT RESOLVED by the St. Croix County Board of Supervisors
that the County Board Rules and By -Laws be amended as listed above.
