HomeMy WebLinkAboutResolution 2015 (44) Resolution No. 44 (2015) ST RO .,, RESOLUTION TO PURCHASE REAL PROPERTY,ALONG ' �' 153RD AVE IN THE TOWN OF SOMERSET FOR A COUNTY PARK AND APPROVE BUDGET AMENDMENT FOR THE PURCHASE 1 WHEREAS, the St. Croix County Outdoor Recreation Plan, adopted by the County Board of 2 Supervisors identifies the need to expand outdoor recreational opportunities in the County through land 3 acquisition, facility development and expansion of a county-wide multijurisdictional trail system; and 4 WHEREAS, the St. Croix County Outdoor Recreation Plan identifies a high priority to acquire 5 lands in the St. Croix River watershed, along the Lower St. Croix River and adjacent to existing park 6 facilities, to protect scenic, threatened, environmentally sensitive,historic, cultural or native natural areas 7 and provide access for the public to the St. Croix River National Scenic Riverway; and 8 WHEREAS, St. Croix County is projected to continue to be the fastest-growing county in 9 Wisconsin and preservation of open space and expansion of existing park facilities is needed to serve a 10 growing population; and 11 WHEREAS, St. Croix County entered into a Cooperative Agreement for Riverway Mitigation as 12 part of the St. Croix River Crossing Project with the Minnesota Department of Transportation, MN/DOT 13 Agreement No. 95705 on April 19, 2012,per the agreement, St. Croix County received $2 million for 14 mitigation to blufflands to provide replacement lands that offset the impacts of a new crossing on the 15 Wisconsin bluff and provide land and water conservation, scenic protection and low-impact public 16 recreation; and 17 WHEREAS, acquisition of 14.0 acres, the last remaining undeveloped site on Bass Lake is an 18 opportunity to protect and improve the water quality of this outstanding resource in St. Croix County; and 19 WHEREAS, acquisition of this parcel will expand public access to Bass Lake; and 20 WHEREAS, a contract to purchase real property of 14.0 acres for$185,000 plus closing costs 21 from Margaret Orf was entered into on October 19, 2015, (see attached); and 22 WHEREAS, St. Croix County has consulted with the Wisconsin State Historic Preservation 23 Officer(WisSHPO), the Minnesota State Historic Preservation Officer(MnSHPO) and other consulting 24 parties,including Indian tribes, as appropriate in accordance with 36 CFR §§ 800.3 - 800.5 to determine if 25 historic properties will be affected. 26 WHEREAS, St. Croix County has consulted with and received concurrence from Wisconsin 27 Department of Natural Resources to purchase the 14.0 acres; and 28 WHEREAS, The Bass Lake Rehabilitation District supports and recommends this purchase; 29 THEREFORE,be it resolved that the St. Croix County Board of Supervisors approves the 30 purchase of 14.0 acres (see attached legal description) from Margaret Orf for one hundred and eighty-five 31 thousand dollars ($185,000); and 32 FURTHER be it resolved that the St. Croix County Board of Supervisors approves paying for 33 title insurance,preparation of filing documents, filing fees and transfer fees; and 34 FURTHER be it resolved that St. Croix River Crossing Project funds (SCRCP),provided through 35 the MN/DOT Agreement No: 95705 which are non-levy funds,will be utilized for acquisition and 36 expenses; and 37 FURTHER be it resolved by the St. Croix County Board of Supervisors that the 14.0 acres is 38 acquired under MN/DOT Agreement No: 95705 Cooperative Agreement for Riverway Mitigation Items 39 are part of the St. Croix River Crossing Project between The Minnesota Department of Transportation and 40 St. Croix County, Wisconsin and per that agreement are considered protected lands which will be 41 perpetually maintained for land and water conservation purposes, scenic protection and other compatible 42 uses,including low-impact public recreation; Seller shall convey the Premises to Buyer by warranty deed free and dear of all liens and encumbrances except municipal and zoning ordinances and agreements entered under them, recorded easements for the distribution of utility and municipal services, recorded building and use restrictions and covenants, which constitutes merchantable title for purposes of this transaction and general taxes levied in the year of closing provided none of the foregoing prohibit present use. Buyer agrees to complete with Seller's assistance the documents necessary to record the conveyance. Buyer shall pay the Wisconsin Real Estate Transfer Fee and any other recording costs. 5. Seller and Buyer each represent and acknowledge that this is voluntary acquisition (i.e., an "arm's length transaction") and that each acted in its own best interest in negotiating and carrying out this transaction. 6. Seller represents that the Premises is offered for sale on the open market and that there are no owner or tenant occupants involved, EXCEPT for approximately two (Z) acres which are under a Farmland Rental Contract m Purchase Real Property—Margarx 8O7flSt. Croix Coun ty Agreement through 2U19. The Seller agrees to provide a copy of Farmland Rental Contract to the Buyer upon acceptance of this contract. 7. Buyer agrees to honor the current agricultural lease with the current renter to farm approximately 2-acres of tillable land for the 2016 and 2017 crop year at the rental amount agreed to in the aforementioned contract. Revenues from the 2-acres of farmland in 2016 and 2017 shall be paid to St. Croix County. 8. Buyer understands there is an abandoned well on the property which has not been used in recent years and which will need to be properly abandoned by the Buyer. 9. Seller understands that Buyer is not acquiring the Premises by condemnation, and that Buyer has not exercised or threatened to exercise its power nf eminent domain. Neither the Seller, nor any person or entity occupying the Premises, is entitled to any remedy afforded by Ch. 32 Wis. Stats. astn this transaction. Seller hereby releases Buyer from any and all liability under Ch. 32 Wis. 5tats. as to this transaction. 10. Seller agrees to allow access to the property to survey and stake the boundaries of the 13.764 acres proposed for purchase. Buyer agrees to prepare m Certified Survey Map (CGM) to finalize the legal description of the parcel. 11. Seller agrees 0r have St. Croix County Community Development Department act on their behalf as agents for the certified survey map and submit applicable application materials to the Town of Somerset and St. Croix County Community Development for approval. Buyer agrees to pay for survey work, CSM preparation and recording fees for the C3M. The survey work would be done in a manner to not impact crops still on the site. 12. Seller agrees to allow access tothe property for soil tests for a future sanitary system and Buyer agrees to return the property to its original condition after bests. The soil tests vvVu|d be done on a portion of the site that would not impact crops still on the site. 13. Buyer's obligation to conclude this transaction is conditioned upon: • Recommendation of Approval by the Administration Committee; and • The approval of the purchase and funding, through the adoption of resolution, by the St. Croix County Board of Supervisors. • Town of Somerset and St. Croix County Community Development approvals of the Certified Survey Map finalizing the creation of the lot and legal description; If any of the foregoing conditions are not satisfied prior to the dote of closing, this Contract shall, at Buyer's sole option, terminate and be ofno further force or effect unless extended pursuant to the provisions of Paragraph 24infra. 14. Seller agrees to decide and inform the County if family name must be part of the County's official name for the property and to provide the specific name and proper spelling within one month of accepting this contract to purchase. 15. Buyer agrees that at such time when a parking lot is constructed on the premises, Buyer will construct fence on the west property boundary of the parking lot. The fence will be constructed using standard fencing materials and native vegetation will be planted where appropriate. The fencing materials utilized will be selected tu discourage trespassing onto Seller's remaining property and on site suitability. 16. Any and all real estate taxes shall be paid by the Seller. Any outstanding assessments shall be paid by the Seller at the time of closing. 17. Assessments, if any, for work on site actually commenced or levied prior to date of the dosing shall be paid by Contract to Purchase Real Propoo)—Margaret/IO�fl& Croix Cvuntl 18. Seller warrants and represents to Buyer that Seller has, aside from those mentioned elsewhere herein, no notice or knowledge of any: • Planned or commenced public improvements which may result in special assessments orotherwise materially affect the Premises; • Federal, state or local regulation, or court order requiring repair, alteration, or correction of any existing condition; • Underground storage tanks on the Premises; • Limited short or long term agricultural leases for the Premises, except as provided in paragraphs 6 and 7. • Active orabandoned well on the Premises except as provided in paragraph 8 and shown on the attached map; • Hazardous and/or toxic substance, materials, waste, or conditions on or affecting the Premises; � Risk of environmental contamination of the Premises. = Boundary or lot line disputes encroachments or encumbrances; � Zoning orland use issues impacting the Premises; � Other conditions of any kind which affect the Premises and should be disclosed to Buyer. 19. Buyer shall be provided o title insurance policy, to be paid for by the Buyer. Title to be conveyed shall be merchantable title, free and dear of all liens, encumbrances, restrictions, and easements, unless waived by Buyer. If there one any defects in title, the Seller shall have forty-five (45) days to cure said defects to the satisfaction of the Buyer; and if the Seller fails to do so, the Buyer may take necessary action to perfect the title and to deduct the cost thereof from the purchase price. 30. Possession and occupancy of the Premises shall be given to Buyer on the date of closing. 21. Seller agrees [o allow access tothe property for inspection. County agrees to return the property to its original condition after inspection. 22. If the condition of, or any condition or factor affecting, the Premises significantly or materially changes prior tn closing this Contract may be terminated at option ofBuyer. 21 Closing shall take place not later than December 31, 2015 at location, date and time to be mutually agreed by the Buyer and Seller. 24. This Contract may be extended one time for up to one month upon the prior written consent of Buyer and Seller. 25. Acceptance of this Contract occurs when the Buyer and Seller have signed the Contract. The Contract, including any amendment contains the entire Contract of the Parties regarding the transaction. All prior negotiations and discussions are merged into this Contract. This Contract binds and inures to the benefit of the parties and their successors in interest. The covenants and agreements herein are to be binding upon and inure to the benefit of the parties hereto, their respective heirs, representatives, successors, and assigns and shall survive the date of closing and consummation of the sale and purchase. 26.
